1) The minimum area required for the showroom should be around 1,000 sft with additional godown space in nearby vicinity having the capacity to stock 15,000 sft of marble in various sizes.
2) The preferred location of the showroom to be near marble or hardware market.
3) Basement, ground floor or first floor is acceptable.
4) Interest free refundable security deposit of Rs 2 Lacs will be charged and the same shall be returned back after 3 years. The security deposit shall be returnable only after completion of three years of franchisee. Incase of franchisee Agreement is terminated before one year the Security Deposit refund would be to the extent of only 1/3 of total security deposit and on completion of one year but before completion of two years, only 50% of the security deposit shall be refunded and on completion of two years but before three years only 75% of the security deposit shall be refunded to the franchisee.
5) Rs one lakh will be charged from each franchisee (area 1,000 sft) towards the 50% cost of Lighting Fixtures and furniture to ensure standard showrooms all over the country. However for larger showrooms the expense will be on a pro-rata basis.
6) OTL will bear the balance 50% cost toward lights and furniture only. Transportation charges to be borne by franchisee only.
7) All expenses towards the execution of showroom i.e civil work, false ceiling, woodwork, electrical, air-conditioning, plumbing, painting, POP etc to be borne by franchisee within stipulated time period.
8) Marble for display will be provided by OTL at free of cost, however the transportation charges, unloading charges, any taxes etc to be borne by franchisee only. For 1,000 sft of showroom area the total marble for display will be approx 1200 sft in floor and walls, based on the interior designer discretion.

9) OTL will bear the cost of Interior designer, Vaastu consultant, project management team and advertising agency.
10) Initial layout of the showroom to be approved by the franchisee, thereafter no changes will be entertained by the architect/interior designer. However after the submission of all the working drawings by the architect, any changes in the design have to be approved from OTL and at franchisee cost.
11) franchisee has to appoint some local technical personal who can assist the execution team and coordinate with architect at Delhi.
12) All running expenses including staff salary etc to be borne by franchisee only.
13) franchisee has to take the minimum inventory of 15,000 sft of natural and engineered marble combined as a first order, 30 days before the scheduled opening of showroom.
14) At any stage a minimum inventory of 10,000 sft to be maintained by the franchisee.
15) franchisee can appoint his own marketing personals.
16) OTL will appoint own dedicated marketing team in each state to assist franchisees.
17) All OTL showrooms to be exclusive showrooms only. Franchisee are not allowed to display or sell any non OTL products.
18) Initially the agreement will be for 3 years and shall be renewed further with mutual consent.
19) Display marble can be changed time to time at OTL cost. However laying or fixing to be borne by franchisee.
20) Training of staff if required will be done at Delhi office at OTL cost.
21) Sign board and branding of showroom will be the responsibility of OTL.
22) Catalogs, leaflets and visiting cards to be provided by OTL.
23) All kinds of corporate advertisements, business promotions, campaigns etc to be done by OTL at state level.
24) Local advertisement, publicity in the form of regional newspapers, banners, hand bills, wall paintings, cinema slides, hoardings, back-lit, tin plates shall be made by the franchisee at its own cost & expenses after the approval of OTL.
25) Expenses towards opening ceremony of the showroom will be borne by franchisee only.
26) All accounting software's required will be provided by OTL.
27) OTL has appointed m/s Marmo Design Studio-a concern of Design Span Consultants, New Delhi as their frenchisee consultant. They are also authorized to collect franchisee fees, cost towards lights & furniture, deposits, initial purchase order etc on behalf of OTL.
28)) All payments to be made by cheque/DD only and in favour of Oriental Trimex Ltd.
29) All disputes are subjected to Delhi jurisdiction only.
30) All correspondence of any regard should be done with Delhi corporate office at Rajendra nagar.
